These terms govern the relationship between Modiset s.r.o. ("provider") and the client regarding the provision of AI agent development, automation, and related software services ("services").
A service agreement is formed based on an individual proposal accepted in writing by both parties (email is sufficient), typically following an initial process audit of the client's business.
A non-binding inquiry submitted via the contact form or a booked consultation call does not create a contractual relationship or payment obligation.
The specific scope, timeline, and price of services are always defined in an individual proposal or contract signed with the client. These terms form the general framework applicable to that contract unless otherwise agreed.
The price of services is set out in the proposal, typically as a fixed project fee or a monthly retainer for operation and maintenance. Invoices are due within 14 days of issuance unless otherwise agreed.
The client agrees to provide the provider with the cooperation necessary for implementation, in particular access to systems (online store, CRM, accounting) required for deploying automations and AI agents.
The provider is responsible for delivering a solution that matches the agreed specification. The provider is not liable for damages resulting from misuse of the solution by the client or outages of third-party services (e.g. Shoptet, Make.com).
Unless otherwise agreed, copyright to the individually developed solution transfers to the client upon full payment of the price. The provider retains the right to reuse general know-how and components in other projects.
The agreement may be terminated by mutual consent or notice with the period agreed in the specific contract, typically 30 days for services billed on a monthly retainer.
These terms are governed by the laws of the Czech Republic. Any disputes will preferably be resolved amicably.
